Terms & Conditions
Acceptance of Terms
By engaging Boumit LLC ("Company", "we", "us", "our") for any professional service, or by accessing any platform, tool, or resource operated by Boumit LLC, you ("Client", "you") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy (www.boum.it/legal/privacy), and our Data Processing Agreement (www.boum.it/legal/dpa).
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or do not agree with these Terms, you may not engage our services.
The Client explicitly waives application of its own general terms and conditions of purchase, even if established after these Terms. Any derogation is valid only if expressly agreed in writing by an authorized representative of Boumit LLC.
Products and Services
Boumit LLC offers the following categories of services, which may evolve over time:
- ERP Implementation: full-cycle Odoo deployment, configuration, migration, and go-live management (versions 16 through 19 and beyond)
- Systems Integration: custom API integrations, third-party connectors, and data pipeline development
- Custom Software Development: Odoo modules, web applications, Chrome extensions, automation scripts, and bespoke technical solutions (including the Odoo–WhatsApp Bridge and future products)
- Operations & Advisory: management consulting, process design, KPI frameworks, organizational structuring, and strategic advisory
- AI & Automation: automation pipeline design, AI-powered workflow implementation, and intelligent system architecture
- Technical Support & Outsourcing: ongoing technical support, helpdesk outsourcing, and operational team extension, whether billed per engagement or as a recurring Support Plan (Section 5.7)
- Maintenance of Tools: corrective and adaptive maintenance of software, modules, integrations, and automations delivered by Boumit LLC or operated on the Client's behalf, as a recurring Maintenance Plan (Section 5.8) or per engagement
- Software Licenses & SaaS Subscriptions: access to proprietary software products and SaaS platforms developed by Boumit LLC, governed by Section 3 of these Terms and any applicable product Order Form
Specific terms applicable to a given engagement are set forth in a Statement of Work ("SOW"), Order Form, or written agreement, which prevails over these Terms in the event of conflict.
SaaS & Software Subscriptions
This section applies exclusively to Boumit LLC's proprietary software products and SaaS offerings, including the Odoo–WhatsApp Bridge (also offered as “WA Bridge” or the “boum.it extension” at bridge.boum.it) and any future software products (collectively "Software Products"). Professional services are governed separately by Section 5.
3.1 Subscription Plans & Billing
Software Products are offered on a subscription basis. Available plans, pricing, features, and billing cycles (monthly or annual) are set forth on the applicable product pricing page at the time of purchase. All prices are in USD unless stated otherwise and are exclusive of applicable taxes.
Annual subscriptions are billed upfront for the full subscription year. Monthly subscriptions are billed at the start of each billing period. Payments are processed by Stripe, Inc. or such other payment processor as may be specified at checkout.
3.2 Free Trial
Boumit LLC may offer a free trial for certain Software Products. Free trials are subject to usage limits, which may include a maximum number of messages, actions, connected instances, or a limited trial duration, and may provide access to a limited subset of features only. Trial limits and durations are specified at the time of activation and may be modified or discontinued at any time without notice.
Upon expiration of the free trial, continued access requires activation of a paid subscription. Boumit LLC reserves the right to limit, modify, or deny free trial access at its sole discretion, including where misuse or circumvention of trial limits is suspected.
3.3 Auto-Renewal
All paid subscriptions renew automatically at the end of each billing period at the then-current plan price, unless cancelled before the renewal date. By subscribing, you authorize Boumit LLC and its payment processor to charge your payment method on a recurring basis. For annual subscriptions, a renewal reminder will be sent to your registered email address in advance of the renewal date. It is your responsibility to cancel before the renewal date if you do not wish to renew.
3.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@boum.it. Cancellation takes effect at the end of the current billing period. You retain full access to the Software Product until that date. No refunds or credits are issued for unused time remaining in a billing period, except as expressly required by mandatory applicable law (see Section 7).
3.5 Subscription Price Changes
Boumit LLC reserves the right to modify subscription pricing at any time. For active subscribers, price changes take effect at the start of the next billing period following at least 30 days' prior written notice sent to your registered email address. Continued use of the Software Product after a price change takes effect constitutes acceptance of the new price. If you do not accept the new price, you may cancel your subscription before the new price takes effect.
3.6 Usage Limits & Plan Features
Software Products may be subject to usage limits based on your subscription plan, including without limitation: number of users or seats, number of messages processed, connected workspaces or Odoo instances, and API call volumes. Applicable limits are specified on the product pricing page. Boumit LLC reserves the right to modify plan structures, usage limits, and feature availability over time with reasonable notice. Exceeding plan limits through technical workarounds constitutes a material breach of these Terms.
3.7 Authorized Use & Reseller Program
Subject to these Terms and payment of applicable fees, Boumit LLC grants you a non-exclusive, non-transferable, limited right to access and use the Software Products during your active subscription term, solely for your internal business purposes.
You may not sublicense, resell, white-label, or otherwise distribute access to the Software Products to third parties without Boumit LLC's prior written consent, except under a formal written Reseller Agreement. Authorized resellers and partners may distribute Software Products to end users solely in accordance with a separate Reseller Agreement executed with Boumit LLC, which governs commission terms, authorized territories, end-user obligations, and support responsibilities. Unauthorized resale or distribution constitutes a material breach of these Terms and may result in immediate termination of access without refund.
3.8 Acceptable Use Policy
You agree to use the Software Products solely for lawful purposes and in strict compliance with these Terms. The following are expressly prohibited:
- Sending unsolicited communications, spam, or mass messages in violation of applicable law (including GDPR, CAN-SPAM, CASL, or equivalent legislation)
- Attempting to gain unauthorized access to any system, account, data, or network
- Using the Software Products to infringe any third-party intellectual property, privacy, or other rights
- Reverse engineering, decompiling, disassembling, or otherwise attempting to extract source code or underlying algorithms from any Software Product
- Circumventing, disabling, or tampering with any license key, seat limit, authentication mechanism, or technical protection measure
- Exceeding licensed usage limits through automation, account sharing, or any other technical or organizational workaround
- Reselling, sublicensing, or providing third-party access to the Software Products without a written Reseller Agreement
- Using the Software Products in a manner that unreasonably burdens, interferes with, or degrades the performance of Boumit LLC's infrastructure or that of other users
- Using the Software Products for any purpose that is unlawful, harmful, fraudulent, or abusive
Boumit LLC reserves the right to suspend or terminate access immediately and without prior notice in the event of any breach of this Acceptable Use Policy, without prejudice to any other remedy available at law or equity.
3.9 Software License Restrictions
The Software Products are licensed, not sold. All right, title, and interest in and to the Software Products, including all associated intellectual property rights, remain exclusively with Boumit LLC. No ownership rights are transferred by virtue of a subscription.
In addition to the prohibitions in Section 3.8, you expressly agree not to:
- Copy, modify, adapt, translate, or create derivative works based on any Software Product
- Remove, alter, or obscure any proprietary notices, watermarks, or license information in or on any Software Product
- Use any Software Product to develop a competing product or service
- Access the Software Products by any means other than through the interface provided by Boumit LLC
- Attempt to probe, scan, or test the vulnerability of any Boumit LLC system or network
- Use automated tools to scrape, extract, or systematically download data or content from the Software Products
Any use of the Software Products not expressly permitted by these Terms is strictly prohibited and may result in immediate termination of your license and subscription without refund.
3.10 Service Availability
Boumit LLC will use commercially reasonable efforts to maintain availability of the Software Products. However, no guarantee of uninterrupted, error-free, or continuously available service is made. Boumit LLC expressly reserves the right to:
- Perform scheduled or emergency maintenance, which may result in temporary interruption of service
- Modify, add, suspend, or remove features of any Software Product at any time, with reasonable advance notice where feasible
- Discontinue any Software Product or feature with at least 60 days' prior written notice to active subscribers; in such event, a pro-rata refund for the unused portion of any prepaid annual subscription will be issued
NO SERVICE LEVEL AGREEMENT (SLA), UPTIME GUARANTEE, OR PERFORMANCE COMMITMENT IS PROVIDED UNLESS EXPRESSLY SET FORTH IN A SEPARATE WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF BOUMIT LLC. BOUMIT LLC SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM SERVICE UNAVAILABILITY, INTERRUPTIONS, OR LATENCY.
The Software Products may integrate with or depend on third-party platforms (including but not limited to Odoo, WhatsApp, and Google Workspace). Boumit LLC does not warrant the continued availability, compatibility, or functionality of such third-party platforms and shall not be liable for any disruption caused by changes to third-party APIs, policies, or services.
3.11 Customer Data on Termination
Upon expiration or termination of your subscription for any reason, Boumit LLC will retain your account data for a period of 30 days from the termination date (the "Retention Period"). During this period, you may request an export of your data by contacting support@boum.it. Following the expiration of the Retention Period, Boumit LLC will permanently delete your data in accordance with the Privacy Policy (www.boum.it/legal/privacy) and the Data Processing Agreement (www.boum.it/legal/dpa).
Boumit LLC has no obligation to retain data beyond the Retention Period. It is your sole responsibility to export any data you require prior to or during the Retention Period. Boumit LLC shall not be liable for any loss of data following the expiration of the Retention Period.
3.12 Product-Specific Terms — Messaging Products
The following additional terms apply to Software Products that send or record messages through third-party messaging services, including the Odoo–WhatsApp Bridge:
- A subscription is personal to one user account (for example, the Google account used to sign in) and covers that user's use across the Odoo databases and devices stated on the product pricing page
- The product is intended for individual, one-to-one business conversations. Bulk messaging, spam, unsolicited marketing, and automated prospecting are prohibited (see Section 3.8)
- Built-in sending limits may apply to protect your messaging account; circumventing them is a material breach of these Terms
- You remain solely responsible for your messaging account and for complying with the terms of the messaging service (including WhatsApp's terms); the messaging service may restrict accounts that break its rules, and Boumit LLC is not liable for any such restriction
- Subscriptions can be managed and cancelled from within the product (customer billing portal) or by contacting support@boum.it, in accordance with Section 3.4
Accounts and Registration
To access certain platforms or client portals, you may be required to create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your account information as necessary
- Keep authentication credentials confidential
- Notify us immediately of any unauthorized use at legal@boum.it
- Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are associated with fraudulent activity.
Professional Services, Support & Maintenance
5.1 Scope of Services
All engagements are governed by these Terms and, where applicable, a separate SOW or Order Form specifying scope, deliverables, timeline, and fees. In the event of conflict, the specific written agreement prevails.
5.2 Quickstart Methodology
Boumit LLC delivers services using its proprietary Quickstart methodology:
- Diagnose: the Client defines the why and the what; Boumit LLC maps gaps, risks, and leverage points
- Design: standard solutions before customization; architecture fitted to the Client's reality, not a template
- Deploy: on-time, on-spec delivery; zero tolerance for go-live delays
- Scale: handoff, training, documentation; the Client's team owns the platform
5.3 Client Responsibilities
You agree to provide Boumit LLC with timely access to information, personnel, systems, and resources required to deliver the services. Delays caused by your failure to meet these obligations may result in revised timelines and additional fees, communicated in writing in advance.
5.4 Subcontracting
Boumit LLC may engage qualified subcontractors or partner consultants to deliver all or part of an engagement. Boumit LLC remains solely responsible to the Client for the quality and delivery of the work, regardless of subcontracting arrangements. No confidential Client information will be disclosed to subcontractors beyond what is strictly necessary for delivery.
5.5 Cancellation
Unless otherwise specified in a written agreement:
- Engagements cancelled before commencement: any prepaid fees are non-refundable
- Engagements cancelled after commencement: fees for work completed to date are non-refundable; any remaining prepaid balance may be applied as credit toward future services at Boumit LLC's sole discretion
5.6 Independent Contractor
Boumit LLC operates as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between the parties.
5.7 Support Plans
Where the Client subscribes to a recurring support offering for a Software Product or for a system implemented or operated by Boumit LLC (a "Support Plan"), the covered products or systems, support channels, hours, included volume, and any target response times are those set out in the applicable plan description, Order Form, or SOW. Target response times are objectives, not guaranteed resolution times, unless a service level is expressly agreed in a signed written agreement (see Section 3.10).
Unless otherwise specified, a Support Plan covers assistance with the use and configuration of the covered products or systems and the diagnosis of incidents. It does not include new developments, data migration, training beyond the agreed scope, or work on systems not listed in the plan, which may be quoted separately.
5.8 Maintenance Plans
Where the Client subscribes to a recurring maintenance offering for software, modules, integrations, or automations (a "Maintenance Plan"), Boumit LLC will, within the scope set out in the applicable plan description, Order Form, or SOW, use commercially reasonable efforts to correct reproducible defects and to keep the covered components compatible with the supported versions of the third-party platforms on which they depend.
Unless expressly included in the plan, a Maintenance Plan does not cover: major version upgrades or migrations (for example, from one Odoo version to another), new features or changes in scope, defects caused by modifications made by the Client or third parties, or failures caused by changes to third-party platforms, APIs, or policies that cannot reasonably be accommodated. Such work may be quoted separately.
5.9 Recurring Plans: Term, Renewal and Cancellation
Support Plans and Maintenance Plans are billed in advance for each billing period (monthly or annual) stated in the plan description or Order Form, and renew automatically for successive periods of the same length unless cancelled. Unless the Order Form provides otherwise, you may cancel at any time by written notice to support@boum.it; cancellation takes effect at the end of the current billing period. Unused support volume does not carry over to the next period and is not refunded, unless the plan description states otherwise. Sections 3.3 (auto-renewal reminders for annual plans) and 3.5 (price changes) apply to recurring plans with the necessary adaptations.
Pricing, Payment, and Billing
6.1 Pricing
Prices are displayed in USD or EUR as applicable at the time of engagement. Boumit LLC reserves the right to modify pricing at any time. Price changes to ongoing engagements will be communicated with at least 30 days' written notice.
6.2 Payment Terms
Unless otherwise specified in a separate written agreement:
- All professional services engagements are prepaid in full prior to commencement, or
- Where invoiced, payment is due within 21 working days of the invoice date
Accepted payment methods are specified at the point of engagement. Payments may be processed by Stripe, Inc. or via bank transfer as specified on the invoice.
6.3 Late Payment
In the event of non-payment by the due date, Boumit LLC reserves the right to apply late payment interest of 10% of the outstanding amount, or the rate applicable under EU Directive 2011/7/EU (ECB rate + 8 percentage points), whichever is higher.
Boumit LLC may immediately suspend services without prior notice in the event of late payment, without prejudice to any other remedy.
If payment remains outstanding more than 60 days after the due date, Boumit LLC reserves the right to engage a debt collection agency or initiate legal proceedings. All collection costs and legal fees shall be borne by the Client.
6.4 Taxes
All prices are exclusive of applicable taxes, VAT, GST, or similar levies. You are responsible for all applicable taxes. Where required by law, taxes will be added to your invoice.
EU clients: VAT will be applied in accordance with applicable EU VAT rules. B2B clients with a valid VAT number may be eligible for reverse charge mechanisms where applicable.
6.5 Disputed Invoices
Any invoice dispute must be raised in writing within 10 days of the invoice date. Undisputed portions remain due on the original due date.
6.6 Withholding Tax
Any withholding tax applied by the Client's jurisdiction shall be paid directly by the Client to the relevant tax authorities and shall not reduce the amount due to Boumit LLC. All invoices are payable in full as invoiced. Boumit LLC shall under no circumstances bear any cost or reduction in payment arising from the Client's local tax legislation.
Refund Policy
7.1 Professional Services, Support and Maintenance
All professional services sales are final. We do not offer refunds on professional services fees, or on Support Plan and Maintenance Plan fees for a billing period that has started, except as expressly required by applicable mandatory law.
7.2 SaaS Subscriptions
Subscription fees are non-refundable. No refunds or credits are issued for partial billing periods, unused features, or early cancellation of a subscription, except as expressly required by mandatory applicable law in the subscriber's jurisdiction.
In the event Boumit LLC discontinues a Software Product, a pro-rata refund for the unused portion of any prepaid annual subscription will be issued as specified in Section 3.10.
7.3 EU / EEA Consumer Rights
If you are a consumer located in the EU or EEA, you may have a statutory right of withdrawal within 14 days of purchase for services not yet commenced or software not yet activated. This right does not apply where services have already commenced or where digital content has been delivered with your explicit prior consent.
Where you ask for a subscription or service to start immediately (for example, by activating a Software Product after purchase), you expressly request performance before the end of the withdrawal period and acknowledge that you lose your right of withdrawal once performance has fully begun, to the extent permitted by applicable law.
To exercise a statutory withdrawal right, contact legal@boum.it within the applicable period.
7.4 Belgian Consumers
Belgian consumers retain rights provided under the Belgian Code of Economic Law, including applicable statutory warranty and withdrawal rights for consumer transactions.
7.5 French Consumers
French consumers retain rights provided under the French Consumer Code (Code de la consommation), including applicable statutory warranty and withdrawal rights for consumer transactions.
Intellectual Property
8.1 Boumit LLC Intellectual Property
All software, tools, frameworks, methodologies, documentation, and materials developed by or on behalf of Boumit LLC, including those developed prior to or independently of any client engagement, remain the exclusive intellectual property of Boumit LLC.
8.2 Client Deliverables
Unless expressly agreed otherwise in a separate written agreement:
- Custom deliverables developed specifically for a client engagement (e.g. custom modules, configurations, reports) are licensed to the Client for internal business use upon receipt of full payment
- Boumit LLC retains full ownership of all underlying tools, frameworks, code libraries, methodologies, and know-how used or developed in the course of delivering services
- Boumit LLC expressly reserves the right to reuse generic or reusable components across other engagements and products, provided no confidential Client information is disclosed
Where a Client requires full IP assignment, this must be agreed in writing and may be subject to additional fees.
8.3 Client Materials
You retain ownership of all data, content, and materials you provide to Boumit LLC. You grant Boumit LLC a limited license to use such materials solely as necessary to deliver the contracted services.
8.4 Feedback
Any feedback or suggestions you provide regarding our services may be used by Boumit LLC without restriction or compensation.
Confidentiality
Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party ("Confidential Information"), and to use such information solely for the purposes of the engagement.
Confidential Information does not include information that: (a) is or becomes publicly known without breach; (b) was already known to the receiving party; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided prompt notice is given where legally permitted.
This obligation survives termination of any engagement for a period of 3 years.
Data Processing
Where Boumit LLC processes personal data on behalf of the Client, the Data Processing Agreement published at www.boum.it/legal/dpa is incorporated by reference and applies in full. By accepting these Terms, you also accept the DPA as binding.
Clients requiring a separately executed DPA may request one by contacting legal@boum.it.
Warranties and Disclaimers
11.1 Mutual Warranties
Each party represents and warrants that: (a) it has legal authority to enter into these Terms; (b) its performance will not violate any applicable law or third-party agreement.
11.2 Nature of Obligations — Best Efforts
Boumit LLC undertakes to use its best efforts to deliver services within agreed timeframes. All obligations are obligations of means and not obligations of result. Boumit LLC does not guarantee any specific outcome or performance metric unless expressly committed to in a separate written agreement.
Boumit LLC shall not be required to appear as a third party, co-defendant, or guarantor in any claim filed against the Client by any end user or third party.
11.3 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES AND SOFTWARE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES OR SOFTWARE PRODUCTS WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR THAT ANY ERRORS WILL BE CORRECTED.
Nothing in this section limits any warranty that cannot be excluded under mandatory applicable law.
11.4 Claim Notification Period
Any claim must be notified in writing to Boumit LLC within 8 calendar days of delivery of the relevant services. Notification must be sent to legal@boum.it with written acknowledgment of receipt, or by recorded delivery to our registered address.
Claims submitted after this period shall be inadmissible. This clause does not affect statutory rights applicable to consumers under mandatory law in France, Belgium, or other EU member states.
Limitation of Liability
12.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOUMIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION APPLIES TO ALL CAUSES OF ACTION, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, AND INCLUDING DAMAGES ARISING FROM SERVICE UNAVAILABILITY, LOSS OF DATA, OR THIRD-PARTY PLATFORM CHANGES.
12.2 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO BOUMIT LLC IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.
12.3 Mandatory Law
Nothing in this section limits liability that cannot be lawfully excluded under applicable mandatory law, including consumer protection provisions in France or Belgium.
Indemnification
You agree to indemnify, defend, and hold harmless Boumit LLC and its members, managers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services or Software Products in violation of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party rights; (d) any content or data you provide to Boumit LLC; or (e) your violation of Section 3.8 (Acceptable Use Policy) or Section 3.9 (Software License Restrictions).
Term and Termination
14.1 Term
These Terms remain in effect for as long as you engage our services, maintain an active account, or hold an active subscription.
14.2 Termination by You
You may terminate a professional services engagement by written notice to legal@boum.it. Termination does not entitle you to a refund of any prepaid fees. For subscription termination, see Section 3.4; for Support Plans and Maintenance Plans, see Section 5.9.
14.3 Termination by Boumit LLC
We may suspend or terminate your access to any service or Software Product, with or without notice, if: (a) you materially breach these Terms, including any violation of Section 3.8 or 3.9; (b) you fail to pay amounts due; (c) we are required to do so by law; or (d) we discontinue the relevant service in accordance with Section 3.10.
14.4 Effect of Termination
Upon termination: (a) all licenses granted cease immediately; (b) all outstanding payment obligations survive; (c) Sections 3.9, 8, 9, 10, 12, 13, 15, and 16 survive termination indefinitely or as specified.
14.5 Data Following Termination
For Software Product subscriptions, data handling following termination is governed by Section 3.11. For professional services engagements, data handling is governed by the DPA (www.boum.it/legal/dpa) and the Privacy Policy (www.boum.it/legal/privacy).
Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed exclusively by the laws of the State of Wyoming, United States. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
For EU/EEA consumers, mandatory consumer protection provisions of the Client's country of residence remain unaffected.
15.2 Dispute Resolution
Any dispute shall first be submitted to good-faith negotiation. If not resolved within 30 days, the dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English in Sheridan County, Wyoming, United States.
15.3 EU / EEA Users
Nothing in these Terms prevents EU or EEA consumers from invoking mandatory consumer protection rights or bringing claims before their local courts. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15.4 Belgian Users
Belgian consumers retain the right to bring disputes before Belgian courts where mandatory provisions so require.
15.5 French Users
French consumers retain the right to bring disputes before French courts and to use mediation procedures available under French law (Code de la consommation, Articles L611-1 et suivants).
General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy (www.boum.it/legal/privacy), the DPA (www.boum.it/legal/dpa), and any applicable SOW or Order Form, constitute the entire agreement between the parties and supersede all prior agreements.
16.2 Order of Precedence
In the event of conflict:
- A separately signed written agreement or contract
- An Order Form or Statement of Work referencing these Terms
- These Terms and Conditions
- The Privacy Policy
- The Data Processing Agreement
The Client's own general terms and conditions shall not take precedence under any circumstances unless expressly agreed in writing by Boumit LLC.
16.3 Amendments
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of our services after the effective date constitutes acceptance.
16.4 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
16.5 Waiver
Failure by Boumit LLC to enforce any right shall not constitute a waiver of that right.
16.6 Assignment
You may not assign your rights or obligations without our prior written consent. Boumit LLC may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
16.7 Force Majeure
Neither party shall be liable for delays resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, or infrastructure failures, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.
16.8 Language
These Terms are drafted in English. Where a translation is provided for convenience, the English version prevails in the event of conflict.
