1. Acceptance of Terms

By accessing or using any product, service, or platform operated by Boum It LLC ("Company", "we", "us", "our"), or by engaging Boum It LLC for any professional services, you ("Client", "User", "you") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy (www.boum.it/privacy), and any additional terms referenced herein or set forth in a separate written agreement.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you may not use our products or services.

These Terms constitute a legally binding agreement between you and Boum It LLC.

2. Products and Services

Boum It LLC offers the following categories of products and services, which may evolve over time:

  • Software products — Chrome extensions, web applications, SaaS platforms, modules, APIs, automations, and custom integrations
  • Software licenses — licenses to use proprietary software tools and future SaaS products developed by Boum It LLC
  • Professional services — management consulting, project management, ERP and software implementation, custom software development, AI implementation advisory, technical support, and offshoring of operational services

Specific terms applicable to a given product or service may be set forth in a separate Order Form, Statement of Work ("SOW"), or written agreement, which shall take precedence over these Terms in the event of conflict.

3. Accounts and Registration

To access certain products or services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information as necessary
  • Keep your authentication credentials confidential
  • Notify us immediately of any unauthorized use of your account at legal@boum.it
  • Accept responsibility for all activity occurring under your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are associated with fraudulent activity.

The Client explicitly waives application of its own general terms and conditions of purchase, even if such terms were established after these Terms. Any derogation from these Terms is valid only if expressly agreed in advance in writing by an authorized representative of Boum It LLC.


4. Software Licenses and SaaS Subscriptions

4.1 License Grant

Subject to payment of applicable fees and compliance with these Terms, Boum It LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the applicable software product or SaaS service solely for your internal business purposes during the subscription term.

4.2 License Restrictions

You may not:

  • Copy, modify, distribute, sell, or sublicense any part of our software
  • Reverse engineer, decompile, or attempt to extract the source code of our products
  • Use our products to build a competing product or service
  • Remove or alter any proprietary notices, labels, or marks
  • Use our products in any way that violates applicable law or third-party rights
  • Share access credentials or allow multiple users to share a single licensed seat unless explicitly permitted

4.3 Subscription Terms

Subscriptions are offered on a monthly or annual basis as specified at the time of purchase. All subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

You are responsible for cancelling your subscription before renewal. Renewal charges are non-refundable once processed. We will use reasonable efforts to notify you before renewal where required by applicable law.

4.4 Free Plans and Trials

Where a free plan or trial is offered, it is subject to usage limits as specified in the applicable product documentation. We reserve the right to modify or discontinue free plans at any time with reasonable notice.

5. Pricing, Payment, and Billing

5.1 Pricing

Prices are displayed in USD or EUR as applicable at the time of purchase. Boum It LLC reserves the right to modify pricing at any time. Price changes to existing subscriptions will be communicated with at least 30 days' notice and will take effect at the next renewal date.

5.2 Payment Terms — Software and Subscriptions

All sales are final. Payment is due in full at the time of purchase or subscription activation. We do not offer refunds except where required by applicable mandatory law (see Section 6).

Accepted payment methods are as specified at the point of purchase. Payments are processed by third-party payment processors (currently Stripe, Inc.). We do not store payment card information.

5.3 Payment Terms — Professional Services

Unless otherwise specified in a separate written agreement:

  • All professional services engagements are prepaid in full prior to commencement, or
  • Where invoiced, payment is due within 21 working days of the invoice date, unless a different timeframe is specified on the invoice or Order Form

Late Payment In the event of non-payment by the due date, Boum It LLC reserves the right to apply a fixed late payment interest of 10% of the outstanding amount, or the rate applicable under EU Directive 2011/7/EU on combating late payment in commercial transactions (ECB rate + 8 percentage points), whichever is higher.

Boum It LLC is authorized to immediately suspend any provision of products or services without prior notice in the event of late payment, without prejudice to any other remedy available.

If payment remains outstanding more than 60 days after the due date, Boum It LLC reserves the right to engage a debt collection agency or initiate legal proceedings. All collection costs, legal fees, and related expenses shall be borne exclusively by the Client.

5.4 Taxes

All prices are exclusive of applicable taxes, duties, VAT, GST, or similar levies. You are responsible for paying all such taxes applicable to your purchase. Where Boum It LLC is required by law to collect taxes, they will be added to your invoice.

European clients: VAT will be applied in accordance with applicable EU VAT rules. B2B clients with a valid VAT number may be eligible for reverse charge mechanisms where applicable.

5.5 Disputed Invoices

Any invoice dispute must be raised in writing within 10 days of the invoice date. Undisputed portions of an invoice remain due and payable on the original due date.

5.6 Withholding Tax

Certain jurisdictions apply withholding tax on payments made to foreign service providers in accordance with their domestic legislation. Any withholding tax applied by the Client's jurisdiction shall be paid directly by the Client to the relevant tax authorities and shall not reduce the amount due to Boum It LLC.

All invoices issued by Boum It LLC are payable in full as invoiced. Boum It LLC shall under no circumstances bear any cost, liability, or reduction in payment arising from the tax legislation of the Client's country of domicile. The Client is solely responsible for complying with its local withholding tax obligations.

6. Refund Policy

6.1 General

All sales are final. We do not offer refunds on software licenses, subscriptions, or professional services fees, except as expressly required by applicable mandatory law.

6.2 EU / EEA Consumer Rights

If you are a consumer (not purchasing for business purposes) located in the European Union or EEA, you may have a statutory right of withdrawal within 14 days of purchase for digital products or services not yet commenced, in accordance with the EU Consumer Rights Directive. This right does not apply where:

  • You have expressly consented to the immediate commencement of a digital service and acknowledged the loss of the right of withdrawal
  • A subscription has already been activated and used
  • Professional services have commenced

6.3 Belgian Consumers

Belgian consumers are entitled to the rights provided under the Belgian Code of Economic Law (Code de droit économique / Wetboek van economisch recht), including applicable statutory warranty and withdrawal rights for consumer transactions.

6.4 French Consumers

French consumers are entitled to the rights provided under the French Consumer Code (Code de la consommation), including applicable statutory warranty and withdrawal rights for consumer transactions.

7. Professional Services

7.1 Scope of Services

Professional services engagements are governed by these Terms and, where applicable, a separate Statement of Work, Order Form, or written agreement specifying the scope, deliverables, timeline, and fees. In the event of conflict, the specific written agreement prevails.

7.2 Client Responsibilities

You agree to provide Boum It LLC with timely access to necessary information, personnel, systems, and resources required to deliver the services. Delays caused by your failure to meet these obligations may result in revised timelines and additional fees, which will be communicated in writing.

7.3 Cancellation

Unless otherwise specified in a written agreement:

  • Engagements cancelled before commencement: any prepaid fees are non-refundable
  • Engagements cancelled after commencement: fees for work completed to date are non-refundable; any remaining prepaid balance may be applied as a credit toward future services at the sole discretion of Boum It LLC

7.4 Independent Contractor

Boum It LLC operates as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between the parties.

8. Intellectual Property

8.1 Boum It LLC Intellectual Property

All software, tools, frameworks, methodologies, documentation, and other materials developed by or on behalf of Boum It LLC, including those developed prior to or independently of any client engagement, remain the exclusive intellectual property of Boum It LLC.

8.2 Client Deliverables

Unless expressly agreed otherwise in a separate written agreement:

  • Custom deliverables developed specifically for a client engagement (e.g. custom modules, configurations, reports) are licensed to the client for their internal business use upon receipt of full payment
  • Boum It LLC retains full ownership of all underlying tools, frameworks, components, code libraries, methodologies, and know-how used or developed in the course of delivering services
  • Boum It LLC expressly reserves the right to reuse any generic or reusable components across other client engagements and products, provided that no confidential client information is disclosed

Where a client requires full IP assignment, this must be agreed in writing in a separate agreement and may be subject to additional fees.

8.3 Client Materials

You retain ownership of all data, content, and materials you provide to Boum It LLC. You grant Boum It LLC a limited license to use such materials solely as necessary to deliver the contracted products or services.

8.4 Feedback

Any feedback, suggestions, or ideas you provide regarding our products or services may be used by Boum It LLC without restriction or compensation.

9. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party in connection with these Terms or any engagement ("Confidential Information"), and to use such information solely for the purposes of the relationship between the parties.

Confidential Information does not include information that: (a) is or becomes publicly known without breach of this obligation; (b) was already known to the receiving party; (c) is independently developed by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided prompt notice is given where legally permitted.

This obligation survives termination of any engagement or these Terms for a period of 3 years.

10. Data Processing Agreement (DPA)

10.1 Applicability

Where Boum It LLC processes personal data on behalf of a client in the course of delivering products or services, and where such processing is subject to the EU General Data Protection Regulation (GDPR), UK GDPR, or other applicable data protection legislation, Boum It LLC acts as a data processor and the client acts as the data controller.

10.2 Standard DPA

The standard Data Processing Agreement published at www.boum.it/dpa is incorporated by reference into these Terms and applies to all processing activities described therein. By accepting these Terms, you also accept the DPA as binding between the parties.

10.3 Custom DPA

Clients who require a separately negotiated and signed Data Processing Agreement may request one by contacting legal@boum.it. Any such custom DPA, once executed in writing by both parties, shall supersede the standard DPA incorporated by reference in Section 10.2.

10.4 Sub-processors

Boum It LLC may engage sub-processors to assist in delivering products and services. A current list of sub-processors is available at www.boum.it/dpa. We will provide reasonable notice of any changes to our sub-processor list.

11. Warranties and Disclaimers

11.1 Mutual Warranties

Each party represents and warrants that: (a) it has the legal authority to enter into these Terms; (b) its performance will not violate any applicable law or third-party agreement.

11.2 Nature of Obligations — Best Efforts

Boum It LLC undertakes to use its best efforts to deliver performant services within the agreed timeframes. However, all obligations of Boum It LLC under these Terms are obligations of means and not obligations of result. Boum It LLC does not guarantee any specific outcome, result, or performance metric unless expressly committed to in a separate written agreement.

Boum It LLC shall not under any circumstances be required or compelled by the Client to appear as a third party, co-defendant, or guarantor in any claim, legal action, or dispute filed against the Client by any end consumer, end user, or third party.

11.3 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT OUR PRODUCTS WILL MEET YOUR REQUIREMENTS, THAT THEY WILL BE COMPATIBLE WITH ANY SPECIFIC THIRD-PARTY PLATFORM (INCLUDING WHATSAPP OR ODOO), OR THAT ANY ERRORS WILL BE CORRECTED.

We do not offer any uptime or service level agreement (SLA) unless expressly agreed in a separate written contract.

Nothing in this section limits any warranty that cannot be excluded under mandatory applicable law, including applicable consumer protection legislation in France or Belgium.

11.4 Claim Notification Period

In order for any claim to be admissible, Boum It LLC must be notified in writing of any defect, non-conformity, or dispute within 8 calendar days of the delivery of the relevant goods or completion of the relevant services. Notification must be sent by recorded delivery (or equivalent traceable written means) to Boum It LLC's registered office at 30 N Gould St Ste R, Sheridan, Wyoming 82801, United States, or by email to legal@boum.it with written acknowledgment of receipt.

Any claim submitted after this period shall be inadmissible and Boum It LLC shall have no liability in respect thereof.

This clause does not affect any statutory rights applicable to consumers under mandatory law in France, Belgium, or other EU member states.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOUM IT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR PRODUCTS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO BOUM IT LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.

12.3 Mandatory Law

Nothing in this Section limits liability that cannot be lawfully excluded or limited under applicable mandatory law, including consumer protection provisions applicable in France (Code de la consommation) or Belgium (Code de droit économique / Wetboek van economisch recht), or any other jurisdiction where such limitations are prohibited.

13. Indemnification

You agree to indemnify, defend, and hold harmless Boum It LLC and its members, managers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our products or services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) any content or data you provide to Boum It LLC.

14. Term and Termination

14.1 Term

These Terms remain in effect for as long as you use our products or services or maintain an active account or subscription.

14.2 Termination by You

You may terminate your subscription or account at any time by following the cancellation process in the applicable product interface or by contacting legal@boum.it. Termination does not entitle you to a refund of any prepaid fees.

14.3 Termination by Boum It LLC

We may suspend or terminate your access to any product or service, with or without notice, if: (a) you materially breach these Terms; (b) you fail to pay amounts due; (c) we are required to do so by law; or (d) we discontinue the relevant product or service.

14.4 Effect of Termination

Upon termination: (a) all licenses granted to you cease immediately; (b) you must cease all use of the relevant product or service; (c) all outstanding payment obligations survive termination; (d) Sections 8, 9, 10, 12, 13, 15, and 16 survive termination indefinitely or as specified.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and all contractual relations between the parties arising therefrom are governed exclusively by the laws of the State of Wyoming, United States. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

For EU/EEA consumers, mandatory consumer protection provisions of the Client's country of residence remain unaffected by this choice of law.

15.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or any engagement with Boum It LLC shall first be submitted to good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English in Sheridan County, Wyoming, United States.

15.3 EU / EEA Users

Notwithstanding Section 15.2, nothing in these Terms prevents EU or EEA consumers from invoking mandatory consumer protection rights available under the law of their country of residence, or from bringing claims before their local courts where required by applicable mandatory law. EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15.4 Belgian Users

Belgian consumers retain the right to bring disputes before Belgian courts in accordance with Belgian law where mandatory provisions so require.

15.5 French Users

French consumers retain the right to bring disputes before French courts and to use the mediation procedures available under French law (Code de la consommation, Articles L611-1 et suivants).

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy (www.boum.it/privacy), the DPA (www.boum.it/dpa), and any applicable Order Form or Statement of Work, constitute the entire agreement between you and Boum It LLC with respect to the subject matter herein and supersede all prior agreements and understandings.

16.2 Amendments

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or prominent notice on our website. Continued use of our products or services after the effective date of any amendment constitutes acceptance of the updated Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Failure by Boum It LLC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Boum It LLC may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

16.6 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, or infrastructure failures, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.

16.7 Language

These Terms are drafted in English. Where a translation is provided for convenience, the English version shall prevail in the event of any conflict.

16.8 Order of Precedence

In the event of conflict between these Terms and any other document, the following order of precedence shall apply:

  1. A separately signed and executed written agreement or contract between the parties
  2. An Order Form or Statement of Work referencing these Terms
  3. These Terms and Conditions
  4. The Privacy Policy (www.boum.it/privacy)
  5. The Data Processing Agreement (www.boum.it/dpa)

Under no circumstances shall the Client's own general terms and conditions of purchase take precedence over these Terms, regardless of when they were established, unless expressly agreed in writing by Boum It LLC.
